U.S. Capital Market and Corporate Financing
Our lawyers regularly advise Chinese companies in their capital raising activities in the U.S., whether through underwritten initial public offerings, registered direct offering, follow-on underwritten offerings, or PIPEs. Taking advantage of our extensive connections to investment banks, investors, private equity, and hedge funds, we act as deal-facilitators and problem-solvers in capital markets transactions involving our clients.
As issuer’s counsel, we guide our clients through every stage of the capital raising process, from conducting due diligence, to identifying and selecting other service providers, such as underwriters, placement agents, auditors, transfer agents, EDGAR printers and depository banks, to designing strategies and setting timetables, to negotiating and drafting transactional documents, to appropriate filings with various federal and state authorities. Our clients rely on our practical and experience-based understanding of federal and state securities laws and national securities exchange rules to exploit opportunities and avoid potential pitfalls that may delay or derail a critical financing transaction.
In recent years, our China practice attorneys have represented more than 30 China-based companies that have gone public in the U.S. through initial public offerings or reverse merger transactions, and successfully moved more than 20 of them to national exchanges, and have participated in financings and other transactions for these clients valued at more than $1.2 billion.
SEC Reporting and Disclosures
We have counseled numerous China-based public companies, incorporated in the US or foreign jurisdictions, ranging from large accelerated filers to smaller reporting companies, in fulfilling ongoing public reporting and disclosure obligations under the Securities Exchange Act of 1934, the Sarbanes-Oxley Act, the Dodd-Frank Act, and applicable stock exchange rules. With a thorough understanding of the regulatory framework, including the SEC’s rapidly changing reporting requirements, and the listing standards of stock exchanges, we provide our clients the regular assistance in preparing, reviewing and advising on current and periodic Exchange Act reports, such as annual report on Form 10-K and Form 20-F, quarterly report on Form 10-Q, Form 8-K, Form 6-K, proxy statements and filings made with the national securities exchanges. In addition, we are experienced in helping our public company clients handle complex matters, such as internal and SEC investigations and national securities exchange or FINRA inquiries, and adverse business developments.
